Welcome to YDPay! a service provided by PISI Pay. By accessing or using any of our services or platforms, you agree to comply with and be bound by our terms of service (the "Terms"). These Terms govern our relationship with you and your use of our various offerings, which may include:

• Users accessing the YDPay website or application.
• Subscribers to the YDPay Yield product.
• Merchants utilizing YDPay Commerce for processing transactions.
• Any general users of the YDPay platform.

These Terms constitute a legally binding agreement between you and YDPay Digital Limited ("YDPay"), a company incorporated under the laws of the Federal Republic of Nigeria. It’s essential that you read these Terms carefully, as they define your rights and responsibilities in connection with our services.

**Acceptance of Terms**

By registering for or using a YDPay account, you confirm that you accept these Terms and agree to act in accordance with them. You also affirm that you understand and comply with all relevant legal obligations associated with your use of the YDPay platform.

Please note that our services are intended for individuals who are at least 18 years old, or individuals who have achieved the legal age of forming binding contracts under applicable laws. If you are under 18, you must not use our services.

**Amendment of Terms**

We may revise these Terms periodically to reflect changes in legal requirements or company policies. We will update you on significant modifications by posting notices on our website and/or via email. It is your responsibility to review the Terms regularly.

Continued use of our services following any changes signifies your acceptance of the updated Terms.

**Eligibility**

By creating an account, you represent that you:

• Engaging in fraudulent or illegal transactions.
• Attempting to gain unauthorized access to other users or YDPay systems.

**Service Availability**

While we strive to ensure the reliability of our services, we cannot guarantee uninterrupted access to the YDPay platform. We are not responsible for delays or failures related to operations beyond our control.

**Risk Warning and Indemnity**

Be advised that trading in digital currencies comes with risks, including significant volatility. You acknowledge that YDPay is not a regulated entity under Nigerian law for the purpose of these services, and you must evaluate your financial situation and risk tolerance before using our platform.

You agree to indemnify and hold YDPay harmless from any claims or losses arising from your use of our services.

**Account Information and Security**

To use our services, you need to create a personal account. You are responsible for maintaining the confidentiality of your account information and must notify YDPay immediately if you suspect unauthorized access. Additionally, you agree to comply with our KYC (Know Your Customer) requirements for identity verification.

**Spot Wallet and Transactions**

Our Spot Wallet service allows you to manage transactions involving supported fiat currencies and digital currencies. You agree that transactions conducted through your Spot Wallet are final and irreversible once marked complete.

**Deposits and Withdrawals**

Funds can be deposited into your YDPay account following verification of your identity. Withdrawals to your bank account must be made by you and cannot be directed to third parties.

**Account Restrictions and Termination**

YDPay reserves the right to restrict or terminate your account for various reasons, including suspected misconduct, fraudulent activity, or non-compliance with these Terms. Upon termination, all account data may be deleted, and you will have no access to it.

**Notices**

YDPay may provide notices regarding your account or these Terms electronically via the email address associated with your account. You consent to receiving all communications from us in electronic format.

**Prohibited Activities**

You are prohibited from engaging in any of the following activities using your YDPay account:

• Violation of any applicable laws or regulations.
• Support or facilitation of criminal activities.
• Exploiting the platform in any manner that could harm YDPay or its users.

**Disclaimer of Warranties**

All services are provided without warranties of any kind, express or implied. We make no guarantees regarding the accuracy or reliability of any information provided through our platform.

**Limitation of Liability**

YDPay and its affiliates are not liable for any indirect, incidental, or consequential damages arising from your use of the platform. Our maximum liability shall not exceed the fees earned by YDPay in the six months preceding the event that gave rise to the claim.

**Dispute Resolution**

In the event of any dispute arising from these Terms, you agree to notify YDPay in writing within thirty (30) days of the occurrence of the claim or dispute. Both parties will make efforts to resolve the issue informally before resorting to formal legal action. If informal resolution is unsuccessful, the dispute shall be governed by the laws of the Federal Republic of Nigeria, and both parties submit to the exclusive jurisdiction of the courts in Nigeria.

Miscellaneous

YDPay and its affiliates are not liable for any indirect, incidental, or consequential damages arising from your use of the platform. Our maximum liability shall not exceed the fees earned by YDPay in the six months preceding the event that gave rise to the claim.

• Entire Agreement:These Terms represent the complete understanding between you and YDPay concerning your use of our services, superseding any prior agreements or understandings.
• Breach: If you believe that your account has been compromised, you must notify YDPay immediately via email at support@ydpay.io. You must take the necessary precautions to mitigate any potential loss.
• Account Inactivity: If your account remains inactive for an extended period, we may be required to report and remit any unclaimed funds to the appropriate authorities. We may also deduct a fee for dormancy or administrative costs incurred due to the maintenance of unclaimed accounts.
• Agency: Nothing in these Terms shall create an agency, partnership, or joint venture between you and YDPay.
• Invalidity of Terms: If any provision of these Terms is found to be invalid or unenforceable under applicable law, the remaining provisions shall continue to be in full force and effect.
• Transfer: You may not transfer or assign your rights or obligations under these Terms without our prior written consent. However, YDPay may freely assign its rights and obligations to any affiliate or as part of a corporate restructuring, merger, or acquisition.
• Force Majeure: YDPay is not liable for any delay or failure to perform its obligations under these Terms due to circumstances beyond its control, including but not limited to natural disasters, acts of government, wars, or labor disputes.
• Security: YDPay will take reasonable precautions to protect your information; however, we cannot be liable for any unauthorized access or use of your account due to your failure to maintain the confidentiality of your login credentials.
• English Language Controls: The section headings in these Terms are for convenience only and shall not affect the interpretation of any provision.These Terms and any related documents are provided in English, which will prevail in the event of any discrepancies in translation.
